Our Company was originally incorporated as a Private Limited Company under the name and style of “Tanya Silk Mills Private Limited” under the provisions of the Companies Act, 1956 vide Certificate of Incorporation dated May 26, 2011, issued by the Assistant Registrar of Companies, Gujarat, Dadra and Nagar Haveli. Further the name of our Company was changed from “Tanya Silk Mills Private Limited” to “Vinit Mobile Private Limited” vide special resolution passed by the Shareholders at the Extra Ordinary General Meeting held on February 19, 2020, and a Fresh Certificate of Incorporation consequent to name change was issued on March 13, 2020, by the Registrar of Companies, Ahmedabad. Subsequently, the status of the Company was changed from private limited to public limited, and the name of our Company was changed to “Vinit Mobile Limited” vide special resolution passed by the Shareholders at the Extra Ordinary General Meeting held on May 15, 2025 The fresh certificate of incorporation consequent to conversion was issued on May 21, 2025 by Registrar of Companies, Central Processing Centre, Manesar.

2011

- Our Company was Incorporated on May 26, 2011 as a Private Limited Company under the name “Tanya Silk Mills Private Limited” pursuant to a Certificate of Incorporation issued by the Registrar of Companies, Gujarat, Dadra & Nagar Haveli

2020

- There was a change in the management and promoters of the Company. To align the Company’s activities with the vision of the new management, the main object clause of the Memorandum of Association was amended on February 19, 2020 to focus on the trading, buying, selling, importing, exporting, storing, marketing, and supplying of mobile phones, mobile-related accessories, TVs, refrigerators, and other electronic items, both on a retail and wholesale basis in India and abroad. In line with this transformation, the name of the Company was changed from “Tanya Silk Mills Private Limited” to “Vinit Mobiles Private Limited,” and a fresh Certificate of Incorporation was issued by the Registrar of Companies, Ahmedabad on March 13, 2020. Further, the Articles of Association were amended to reflect the new name and the provisions of the Companies Act, 2013 were incorporated in the new set of Articles of Association.
