The Company was incorporated as a private limited company in the name of ‘Credo Brands Marketing Private Limited’ in Mumbai, India under the Companies Act, 1956 pursuant to a certificate of incorporation dated April 29, 1999, issued by the RoC. Subsequently, the Company was converted from a private limited company to a public limited company, pursuant to a board resolution dated April 7, 2023, and a special resolution passed by the shareholders on April 18, 2023, consequent to which a fresh certificate of incorporation dated May 11, 2023, was issued by the RoC to the Company and the name of the Company was changed to ‘Credo Brands Marketing Limited’ with effect from May 11, 2023.
